Appointment of Auditor

The Board has appointed BDO Limited as auditor of the Group with effect from 27 July 2026, on the recommendation of the Audit Committee. BDO fills the vacancy left by the resignation of Grant Thornton Hong Kong Limited, will audit the consolidated financial statements of the Group for the year ended 30 June 2026, and holds office until the conclusion of the next annual general meeting of the Company.

The Audit Committee made its recommendation after considering proposals from each candidate firm covering qualifications, experience, resources, manpower, independence, scope of services, fees and timetable, and after interviewing them, having regard to the guidelines of the Accounting and Financial Reporting Council on the selection, appointment and reappointment of auditors. The proposed engagement partner, engagement quality reviewer and engagement manager have over 25, 25 and 8 years of audit experience respectively, each with experience in property investment, development and management.

BDO’s proposed audit fee is HK$1.25 million. It expects the audit to be complete by the end of September 2026, with the annual results announcement in late September and the annual report in late October.

The announcement sets out in full the assessment made by the Board and the Audit Committee of BDO’s competence, independence and quality controls, including their consideration of the disciplinary decisions published by the Accounting and Financial Reporting Council on 20 December 2024 and 21 August 2025, and the remedial actions BDO has confirmed it has taken.
